These terms govern the use of this website and the purchase of software licences and implementation services from Digict LTD. A signed distribution or service agreement takes precedence over anything written here.
Digict LTD acts as publisher and distributor: we resell licences for software developed by our vendors and we deliver our own implementation, integration and support services. Placing an order, signing a quote or paying an invoice means you accept these terms on behalf of your organisation. We sell to legal entities and sole traders; the site is not intended for consumer purchases.
Prices, feature lists and availability shown in the catalog are an invitation to discuss, not a binding offer. A contract exists once we confirm your order in writing or issue an invoice against a signed quote. Vendors change their products; where a change removes a feature you bought the product for, we will tell you and agree a replacement or a refund of the unused term.
What you buy through us is a licence granted by the vendor, on the vendor's own licence terms, for the seat count, term and environment stated on the invoice. Digict LTD does not own the software and grants no rights of its own beyond delivering the licence.
Licences may not be resold, sublicensed, shared between legal entities or used beyond the purchased seat count. Keys are issued to a named technical contact and are treated as confidential; you are responsible for use made under keys issued to you.
Prices are quoted excluding VAT and other applicable taxes. Payment is by bank transfer against invoice, due within 14 days unless the quote says otherwise; licences are delivered after payment is received, or on the schedule agreed in the contract. Overdue invoices accrue statutory default interest, and we may suspend delivery or support while an invoice stands unpaid for more than 30 days.
Licences are delivered electronically to the technical contact, normally within one working day of payment. Subscriptions renew for the same term unless either side gives notice 30 days before the renewal date; we send a renewal reminder and the next period's price at least 45 days in advance.
Because delivery is digital and immediate, issued licences are not returnable. If a product fails to perform as described in the pre-purchase evaluation, tell us within 14 days of delivery: we take it up with the vendor and, where it cannot be fixed, refund the licence fee or move the budget to another product. Implementation work already performed is invoiced at the agreed rate.
Rollout scope, timeline and responsibilities are set out in the project plan attached to the quote. Our estimates assume the access, data and named decision-maker described there; delays caused by their absence move the schedule, not the price. First-line support is provided by Digict LTD under the SLA in your contract, and starts on the go-live date. Issues in the vendor's code are escalated to the vendor, and we manage that escalation on your behalf.
Use the software lawfully and within its licence terms. Do not attempt to decompile, circumvent licence controls, run stress or penetration tests against hosted products without written permission, or use the products to process data you have no right to process. Keep credentials secure and tell us promptly if they are exposed. You remain the controller of the business data you put into any product we supply.
Vendors publishing through Digict LTD are bound by a separate distribution agreement covering revenue share, exclusivity, brand use and support duties. In outline: the vendor warrants it owns or licenses everything it supplies, keeps the product free of known malicious code, meets the response times promised to customers, and indemnifies Digict LTD against third-party intellectual-property claims. Terms are summarised on the vendors page.
Software rights stay with the vendor; the Digict LTD name, site content and our own materials stay with us; your data and your trade marks stay with you. Each side keeps the other's non-public commercial and technical information confidential for three years after the contract ends, and may name the other as a reference only with written consent.
We warrant that our services are performed with professional care and that licences we sell are validly granted. Products themselves are supplied on the vendor's warranty; nothing here adds to it. The site's catalog data is provided as it is.
Neither side is liable for indirect or consequential loss, lost profit or lost data. Our total liability under a contract is capped at the fees you paid for the affected product or service in the 12 months before the claim. This cap does not apply to intent, gross negligence, personal injury or liabilities that cannot be limited by law. Neither side is in breach for delays caused by events beyond its reasonable control.
Either side may terminate for material breach that is not cured within 30 days of written notice, or immediately on insolvency. On termination you stop using the software, we hand over your data in a portable format, and fees for delivered work remain payable.
We may change these terms for future orders and will publish the new version with a new date; changes do not affect a contract already signed. Personal data is handled as described in the privacy policy.
These terms are governed by the law of the supplier's seat, and disputes go to its competent courts after a good-faith attempt to settle within 30 days. Questions: contact@digictltd.com.
